Terms of Service

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Beezifi Inc. ("Beezifi", "we", "us", or "our") governing your access to and use of Beezifi Storage (the "Service").

By creating an account, checking the acceptance box during registration, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2 Account Registration

To use the Service, you must create an account by providing your full name, email address, organization name, and a password. You agree to provide accurate and complete information and to keep it up to date.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@beezifi.com if you suspect unauthorized access.

Each registered account creates an isolated organization workspace. You may invite team members under your organization, each with a designated role (owner, admin, or member).

3 Free Trial

During the trial period, you have full access to all platform features. At the end of 30 days, your trial expires. To continue using the Service, you must activate a paid prepaid plan.

Files uploaded during the trial period are subject to the same data retention policy as paid accounts. If no plan is activated within 30 days after trial expiry, your data may be permanently deleted.

Each organization is eligible for one free trial. Creating multiple organizations to circumvent this limitation is a violation of these Terms.

4 Prepaid Plans & Billing

Bandwidth is a separate add-on tier chosen independently from your storage tier. Pricing for bandwidth tiers is displayed during checkout.

Prepaid Terms

Plans are paid in advance for a fixed term:

• 3 months — billed at 3× the monthly rate
• 6 months — billed at 5× the monthly rate (1 month free)
• 12 months — billed at 10× the monthly rate (2 months free)

At the end of a paid term, service access continues until the expiry date. There is no automatic renewal — you must manually purchase additional time before expiry to maintain uninterrupted service.

Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize Beezifi to charge your payment method for the selected plan and term.

Refund Policy

If you believe you were charged in error, contact billing@beezifi.com within 14 days of the charge.

Taxes

Prices are exclusive of taxes. Applicable sales tax, VAT, or GST will be calculated and added at checkout based on your billing address and jurisdiction.

5 Storage Quotas

Your account is subject to the storage quota associated with your active plan. If you attempt to upload files that would exceed your quota, the upload will be rejected with an error.

Storage usage is measured as the total size of all objects stored in your organization's buckets, including all versions of versioned objects. Metadata is not counted toward your quota.

You can upgrade your storage tier at any time by purchasing a new plan. When you upgrade, your quota increases immediately and the new plan's expiry extends from your current expiry date.

6 Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not use the Service to:

• Store, distribute, or transmit material that is illegal, defamatory, obscene, or that infringes on intellectual property rights
• Store malware, ransomware, viruses, or any malicious code
• Engage in unauthorized access to other systems or networks
• Conduct denial-of-service attacks or deliberately degrade service performance for others
• Scrape, mine, or harvest data from the platform beyond your own organization's data
• Perform penetration testing, vulnerability scanning, or load testing without prior written consent from Beezifi
• Circumvent storage quotas, authentication mechanisms, or other platform controls
• Resell or sublicense access to the Service without express written permission

Beezifi reserves the right to suspend or terminate accounts that violate this policy immediately and without prior notice.

7 Data Ownership

By uploading content, you grant Beezifi a limited, non-exclusive license solely to store, transmit, and serve that content as necessary to provide the Service to you. This license terminates when you delete the content or close your account.

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and store the content in your account.

8 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service is provided "as is" and "as available."

We may perform scheduled maintenance with advance notice where possible. Emergency maintenance may occur without notice when required to address security incidents or critical failures.

Beezifi is not liable for any losses or damages resulting from planned or unplanned downtime.

9 Termination & Data Export

Termination by You

You may close your account at any time. Upon closing, your data remains accessible for 30 days to allow you to export your files. After 30 days, all data will be permanently deleted.

Termination by Beezifi

We may suspend or terminate your account immediately if you:

• Materially breach these Terms
• Use the Service for illegal activities
• Fail to maintain a valid payment method (for paid plans)
• Are required to be terminated by law or court order

In cases of termination for cause, we reserve the right to permanently delete your data without a 30-day retention window.

Plan Expiry

If your plan expires and is not renewed, your account enters a read-only grace period of 30 days during which you can download your files. After 30 days without renewal, all data may be permanently deleted.

Data Export

You can download your files at any time from the dashboard. We do not charge egress fees for exporting your own data.

10 Limitation of Liability

THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEZIFI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO BEEZIFI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

BEEZIFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, the above limitations apply to the fullest extent permitted by law.

11 Indemnification

You agree to defend, indemnify, and hold harmless Beezifi Inc., its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) the content you store on the Service.

12 Governing Law & Disputes

These Terms are governed by the laws of the state of incorporation of Beezifi Inc., without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration on an individual basis. You waive the right to participate in class action lawsuits to the extent permitted by applicable law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for urgent matters.

13 Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice in the platform at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.
